Registration fees for incorporation of companies have been significantly reduced to bring down costs of starting a business

Changes to the Registration Fees
On 23rd April 2019 the Cabinet issued an Official Gazzette Notification revising the fees applicable when registering a new company in the Office of the Registrar of Joint-Stock Companies and Firms (RJSC).

  • No registration fee now applies where the authorised capital of the proposed company is up to BDT 1 million, although a small filing fee (BDT 1200) and stamp duty (BDT 4150) is still payable. For companies with higher authorized capital, the applicable registration fees have also been significantly reduced.

  • Depending on the size of the authorised capital, the incorporation costs (barring legal fees) for a new company have been slashed to upto 70% with this change.

 
Comment
The amended fee structure will certainly be of great comfort to upcoming start-ups and small businesses for whom the incorporation costs were disproportionately burdensome. This effort by the government is likely to help Bangladesh score higher on the World Bank’s Ease of Doing Business index and furthermore help bring more businesses into the corporate structure.
