Mahbub & Company has advised Shikho on its latest US$700,000 strategic investment round, supporting the Bangladeshi EdTechh company on the legal structuring and transaction documentation for the investment.

The investment round included participation from members of business families associated with a large congolmerate in Bangladesh in their personal capacities, alongside Singapore-based Wavemaker Partners, an existing investor in Shikho. The funding will support Shikhoโ€™s continued expansion, including its growing engagement with schools, colleges, universities and training providers.

Mahbub & Company acted for Shikho in connection with the Bangladesh-law aspects of the transaction, including advising on the investment structure and preparing and negotiating the relevant transaction documentation.

A significant aspect of the mandate involved structuring the investment through an equity-linked instrument, including the subscription and issuance mechanics, conversion arrangements, investor protections and the interaction between the investment at the local operating level and the wider groupโ€™s economic arrangements. The transaction documentation also addressed future financing, transfer and exit arrangements, information rights and the accession of additional investors.

The firm also advised on the corporate and regulatory steps required to implement the investment in Bangladesh, including closing mechanics, corporate approvals, maintenance of statutory and capitalisation records, and the associated regulatory filings.

The Mahbub & Company team advising Shikho was led by Saqeb Mahbub, Partner, with Rifat Rahman, Senior Associate, and Tasnuva Tabassum Ratry, Associate.
